POSITION & TERM
The Company hereby appoints the General Manager to oversee the daily operations, strategic growth, and management of Touch Radio NYC. DUTIES & RESPONSIBILITIES The General Manager shall be responsible for, but not limited to, the following duties: Operational Management Oversee daily radio station operations, programming schedules, and on-air standards Ensure compliance with company policies, FCC regulations (if applicable), and platform requirements Manage studio operations, equipment oversight, and broadcasting continuity Leadership & Management Supervise and coordinate the activities of management members, DJs, hosts, and support staff Conduct regular management meetings and performance reviews Enforce professional conduct and brand standards Programming & Content Oversight Approve programming schedules, special shows, and live broadcasts Collaborate with DJs and producers to maintain high-quality content Ensure Touch Radio NYC brand alignment across all programming Revenue & Business Development Assist in generating revenue through sponsorships, advertising, partnerships, and promotions Collaborate with management to identify growth opportunities Support marketing campaigns and monetization strategies Marketing & Brand Representation Represent Touch Radio NYC professionally at events, meetings, and public appearances Oversee promotional initiatives, social media strategy, and brand visibility Maintain positive relationships with partners, advertisers, and the community Administrative Responsibilities Maintain operational records and reports Assist in budgeting discussions and revenue tracking Communicate regularly with ownership and management members
COMPENSATION STRUCTURE
Revenue-Based Compensation The General Manager shall receive compensation based on 25% of the Company’s gross revenue, allocated to the management team. Said 25% revenue share shall be divided equally among six (6) management members. The General Manager’s share shall therefore equal 1/6 of the 25% management revenue pool. Payment Schedule Revenue distributions shall be calculated and paid on a monthly or quarterly basis, as determined by the Company. Compensation is contingent upon actual revenue received by Touch Radio NYC. NO GUARANTEED SALARY The General Manager acknowledges that compensation is performance-based and revenue-dependent, and no fixed salary, hourly wage, or guaranteed payment is implied.

CONFIDENTIALITY & CONFLICT OF INTEREST
The General Manager agrees to maintain strict confidentiality regarding company finances, contracts, strategies, and proprietary information during and after the term of this Agreement. CONFLICT OF INTEREST The General Manager shall not engage in any activity that conflicts with the interests of Touch Radio NYC without prior written consent from the Company.

TERMINATION
This Agreement may be terminated: By either party with 30 days written notice Immediately for misconduct, breach of confidentiality, negligence, or actions harmful to the Company Upon termination, the General Manager shall be entitled only to earned revenue up to the termination date.

NOTES OF AGREEMENT
This Agreement may be terminated: By either party with 14 days written notice Immediately for misconduct, policy violations, unprofessional behavior, or failure to perform assigned duties Upon termination, the General Manager shall be entitled only to earned revenue up to the termination date. INDEPENDENT CONTRACTOR STATUS The General Manager is engaged as an independent contractor and is responsible for all applicable taxes, insurance, and expenses. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of New York. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
